ProjectHero Terms of Service

IMPORTANT — READ CAREFULLY

These Terms of Service ("Terms") govern your access to and use of ProjectHero.ai, the ProjectHero mobile application, and any related services (collectively, the "Services") operated by Mero Mero Systems LLC d/b/a ProjectHero ("ProjectHero," "we," "us," or "our").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

These Terms contain important provisions that affect your legal rights, including:

  • Mandatory Arbitration (Section 24): Disputes are resolved by binding arbitration on an individual basis. You waive your right to a jury trial and to participate in a class action.
  • Limitation of Liability (Section 22): Our liability to you is capped at the greater of $100 or the commission we earned on the specific transaction giving rise to your claim.
  • Independent Contractor Status (Section 7): Contractors on the platform are independent third parties, not employees or agents of ProjectHero.
  • Marketplace Nature (Section 6): ProjectHero is a marketplace facilitator. We do not perform, supervise, or guarantee the work of contractors.

1. Introduction

ProjectHero operates a two-sided online marketplace that connects homeowners in the United States seeking home services ("Homeowners") with independent, verified home services contractors ("Contractors"). Homeowners post projects with photos; Contractors submit competitive bids; Homeowners select and hire the Contractor of their choice; and payments flow through the ProjectHero platform via escrow.

ProjectHero is not a home services provider, general contractor, subcontractor, employer of Contractors, or party to any agreement between Homeowners and Contractors. ProjectHero facilitates the connection and payment flow between these independent parties.

2. Acceptance of Terms

By creating an account, posting a project, submitting a bid, or otherwise accessing the Services, you represent that:

  • You are at least 18 years old and legally able to enter into binding contracts;
  • You have read, understood, and agree to these Terms and our Privacy Policy (available at https://projecthero.ai/privacy);
  • If accepting on behalf of an entity, you have authority to bind that entity;
  • Your use of the Services complies with all applicable local, state, and federal laws.

If you access the Services on behalf of an entity, "you" refers to both you individually and that entity.

3. Definitions

  • "Bid" — an offer by a Contractor to perform a specific Project for a specific price and timeline.
  • "Commission" — the fee ProjectHero charges on completed Projects (see Section 10).
  • "Contractor" — a verified independent home services professional using the Services to receive Bids and perform work.
  • "Homeowner" — an individual or entity posting Projects to receive Bids.
  • "Milestone" — a portion of the total Project payment released upon completion of a defined phase of work.
  • "Project" — a home services job posted by a Homeowner via the Services.
  • "Warranty Fund" — the voluntary goodwill program described in Section 12; not an insurance product.
  • "Content" — text, photos, videos, ratings, reviews, and other material submitted by users.
  • "Services" — the ProjectHero website, mobile application, APIs, and all related tools and features.

4. Eligibility

To use the Services, you must:

  • Be at least 18 years old;
  • Be a legal resident of, or authorized to conduct business in, the United States;
  • Provide accurate, current, and complete registration information;
  • Maintain the security of your account credentials;
  • Comply with all applicable laws.

Additional eligibility requirements for Contractors:

  • Hold all licenses required by state and local law for the trades you perform;
  • Maintain general liability insurance with minimum coverage of $500,000, naming ProjectHero as certificate holder;
  • Operate as an owner-operator or small business (fewer than 20 employees);
  • Successfully complete ProjectHero's vetting process, which may include license verification, insurance verification, identity verification, and an interview.

ProjectHero reserves the right to deny, suspend, or terminate any account at its sole discretion, including for failure to meet these eligibility requirements at any time.

5. Account Registration

You must create an account to use most features of the Services. You agree to:

  • Provide accurate and complete information at registration;
  • Update information promptly if it changes;
  • Keep your password confidential and not share your account with others;
  • Notify us immediately of any unauthorized access;
  • Accept responsibility for all activity under your account.

We may verify information you provide, including phone numbers via SMS one-time password, email via magic link, and (for Contractors) government ID, professional licenses, and insurance certificates. Verification is a condition of continued access.

6. Nature of ProjectHero — Marketplace Facilitator

ProjectHero is a marketplace facilitator, not a home services provider.

  • ProjectHero does not perform, supervise, direct, or guarantee any work performed by Contractors.
  • Any agreement to perform home services is a direct contract between the Homeowner and the Contractor.
  • ProjectHero is not a party to that contract, even though we facilitate the connection and payment.
  • ProjectHero does not employ Contractors, control their work methods, dictate their pricing (beyond providing suggested ranges), or supervise their performance.
  • Contractors set their own schedules, prices, methods, and business practices.
  • ProjectHero does not warrant the quality, safety, legality, timeliness, or completion of any work.

This provision is fundamental to how the Services function and how ProjectHero is legally structured. It cannot be modified except by written amendment to these Terms.

7. Contractor Status — Independent Contractors

Contractors on ProjectHero are independent third-party contractors, not employees, agents, joint venturers, or partners of ProjectHero.

  • Contractors have no authority to bind ProjectHero.
  • ProjectHero does not withhold income tax, Social Security, Medicare, or unemployment insurance for Contractors.
  • Contractors are solely responsible for their own tax obligations, insurance, licensing, tools, materials, workers' compensation coverage (if they have employees), and business expenses.
  • Contractors control the manner, means, and methods of their work.
  • Contractors are free to accept or decline any lead, work for competitors, and set their own schedules.
  • ProjectHero does not provide training, uniforms, equipment, or supervision.

Contractors acknowledge and agree that they are independent business operators and expressly waive any claim to employee status, benefits, or protections under federal or state employment law arising from their use of the Services.

8. Homeowner Responsibilities

As a Homeowner, you agree to:

  • Provide accurate, truthful, and complete information about your Project, including location, scope, timeline, and budget expectations;
  • Upload only Content you own or have the right to share;
  • Respond to Contractor communications in a timely manner;
  • Ensure the Project location is safe and accessible for the Contractor;
  • Pay in full through the ProjectHero platform when required by these Terms;
  • Not solicit Contractors to circumvent the platform (see Section 16);
  • Provide fair and honest reviews based on actual experience;
  • Comply with all laws regarding the work you request.

You acknowledge that you are solely responsible for evaluating Contractor qualifications, references, and Bids before entering into any agreement, and for supervising the work performed at your property.

9. Contractor Responsibilities

As a Contractor, you agree to:

  • Maintain accurate, up-to-date business, license, and insurance information;
  • Bid only on Projects within your licensed trades and geographic service area;
  • Provide bids in good faith with the intent and ability to perform;
  • Perform work in a professional, workmanlike manner meeting industry standards;
  • Complete work within the timeframe agreed with the Homeowner;
  • Communicate promptly and honestly;
  • Comply with all applicable building codes, permit requirements, and safety regulations;
  • Not solicit Homeowners to circumvent the platform (see Section 16);
  • Maintain the confidentiality of Homeowner personal information;
  • Pay Commission to ProjectHero on all Projects completed with clients originating from the Services (see Section 10);
  • Report to ProjectHero any material change in your license, insurance, or ability to perform.

10. Fees and Payments

Homeowner Fees: There is no fee to sign up, browse the marketplace, post Projects, or receive Bids. Homeowners pay only the agreed Project amount into the ProjectHero platform escrow.

Contractor Fees: Fees are deducted from the Contractor's payout at the time of each Milestone release. The Contractor's net payout for a Project is the total Project amount minus (a) the payment processing fee and (b) the platform commission:

  • Marketplace participation: Free.
  • Platform commission: 5% of the total Project amount, split 4% to ProjectHero (platform fee) and 1% to the Warranty Fund (see Section 12).
  • Payment processing: The standard Stripe processing fee (2.9% + $0.30 per deposit transaction) is deducted from the Contractor's payout. ProjectHero does not absorb this fee.
  • Premium subscription (optional): $99/month for Pro-tier features including AI bid assistance, unlimited AI receptionist calls, and priority placement. Cancellable anytime.

Example: On a $500 Project, the Contractor's net payout is $500 − $14.80 (Stripe) − $25.00 (5% commission) = $460.20. Fees are allocated proportionally across Milestones when a Project uses more than one.

Payment Method: All Homeowner payments must be made via credit card, debit card, or ACH bank transfer through Stripe, our payment processor. Cash, checks, and off-platform payments are prohibited (see Section 16).

Currency: All fees and payments are in United States Dollars (USD).

Taxes: Contractors are solely responsible for reporting and paying all applicable federal, state, and local taxes on their earnings, including self-employment tax. ProjectHero will provide IRS Form 1099-K where required by law.

11. Milestone Escrow

For each accepted Bid, the Homeowner deposits the full Project amount into ProjectHero's escrow, which is released to the Contractor in Milestones as work progresses.

Milestone Presets:

  • Quick (0/0/100): One payment upon completion. Best for jobs ≤1 day.
  • Standard (0/50/50): Half at midpoint, half at completion. Best for 2-7 day jobs.
  • Multi-day (30/40/30): Three phases. Best for jobs longer than one week or requiring materials.
  • Custom: Homeowner and Contractor may agree to a custom milestone structure, subject to Section 11 rules.

The Contractor proposes the Milestone structure in the Bid. Acceptance of the Bid constitutes acceptance of the proposed Milestone structure.

Milestone Release:

  1. The Contractor marks the Milestone complete via the platform, uploading a photograph of the completed work.
  2. The Homeowner reviews within 48 hours and either approves the Milestone (funds release to Contractor) or flags a dispute (funds freeze pending resolution — see Section 24).
  3. Auto-release: If the Homeowner does not act within 48 hours, the Milestone auto-releases to the Contractor. Auto-release does not waive the Homeowner's right to raise a subsequent dispute during the 30-day post-completion window (Section 12).

Photo Evidence Required: Photographic documentation of completed work is required for the final Milestone of every Project. For Projects exceeding $200, photo documentation is required for all Milestones.

No Cancellation After Payment: Once funds have been deposited to escrow, the Homeowner may not cancel the Project except through the dispute resolution process (Section 24). Before deposit, the Homeowner has a 24-hour window post-Bid-acceptance to complete the escrow deposit; if not completed, the acceptance auto-cancels.

12. Warranty Fund

IMPORTANT: The ProjectHero Warranty Fund is a voluntary goodwill program, not an insurance product. It is not underwritten by an insurance company, not subject to state insurance regulation, and does not create any insurance contract or coverage between ProjectHero and any user.

How it works:

  • 1% of every Commission is allocated to the Warranty Fund.
  • ProjectHero has seeded the Fund with an initial contribution of $5,000 in operating capital as of the launch date.
  • If a dispute is resolved in favor of a Homeowner and the ruling requires reimbursement of Project costs or funding for corrective work, ProjectHero may, in its sole discretion, disburse funds from the Warranty Fund to the Homeowner.
  • Payouts are capped at the lesser of $3,000 per Project or 75% of the total Project value.
  • Homeowner must file any claim within 30 days of Project completion.
  • ProjectHero determines eligibility and payout amounts based on evidence, dispute resolution rulings, and available Fund balance.

No Guarantee: Warranty Fund payouts are discretionary. ProjectHero does not guarantee that any specific claim will result in payout, nor that funds will always be available. Nothing in this Section creates a contractual right to payout beyond what ProjectHero determines is warranted under the program guidelines.

Not Insurance: By using the Services, you acknowledge that the Warranty Fund is not insurance and does not replace the need for Homeowners and Contractors to carry their own insurance for property damage, personal injury, or professional errors.

13. Reviews and Ratings

After Project completion, both Homeowner and Contractor may submit a review (1–5 stars and optional written comment) about the other party.

  • Reviews are submitted double-blind: neither party sees the other's review until both have submitted, or 14 days elapse (whichever comes first).
  • Reviews become public and appear on the reviewer's profile unless removed for violating these Terms.
  • Reviewers may edit their reviews within 7 days of publication.
  • ProjectHero may moderate or remove reviews that contain profanity, harassment, personally identifying information about non-parties, false or defamatory statements, or content unrelated to the transaction.
  • False or fraudulent reviews (e.g., self-reviews via alternate accounts, retaliatory reviews unrelated to work quality) are grounds for account suspension.

Reviews reflect the individual experience of the reviewer and are not endorsed by ProjectHero. ProjectHero does not verify the accuracy of any review.

14. Communications

By creating an account, you consent to receive:

  • Transactional messages (email, SMS, push notifications) regarding your account, Projects, Bids, Milestones, payments, and disputes. These are essential to the Services and cannot be disabled without terminating your account.
  • Marketing messages (email, SMS) about product updates, promotions, and educational content. You may opt out at any time via unsubscribe links (email) or by replying STOP (SMS).

SMS Consent: By providing your mobile number and checking the consent box at signup, you agree to receive automated text messages from ProjectHero at that number. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for help. See our SMS Terms at https://projecthero.ai/sms-terms for full details.

ProjectHero will not share your mobile information or SMS opt-in consent with third parties or affiliates for marketing or promotional purposes.

15. User Content

You retain ownership of Content you submit to the Services. However, by submitting Content, you grant ProjectHero a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display such Content in connection with operating, promoting, and improving the Services.

This license continues even after you close your account, to the extent necessary to maintain records, respond to disputes, comply with legal obligations, and use anonymized or aggregated data for analytics and marketing.

You represent and warrant that:

  • You own or have the necessary rights to submit the Content;
  • The Content does not violate any third party's rights, including intellectual property, privacy, or publicity rights;
  • The Content is not unlawful, defamatory, obscene, threatening, or otherwise objectionable.

16. Prohibited Conduct

You agree NOT to:

  • Circumvent the platform: Solicit Contractors or Homeowners you met via the Services to enter transactions off-platform, share direct contact information via chat before a Bid is accepted, or make/accept off-platform payments for Projects sourced through ProjectHero.
  • Provide false information: Misrepresent your identity, licensing, insurance, business status, work capacity, or Project details.
  • Manipulate reviews or ratings: Submit fake reviews, coerce reviews, offer incentives for positive reviews, or maintain multiple accounts.
  • Harass or discriminate: Use the Services to harass, threaten, discriminate against, or defame any user based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, marital status, veteran status, or any other protected characteristic.
  • Infringe rights: Post Content that violates intellectual property, privacy, publicity, or other rights.
  • Introduce malware: Upload viruses, worms, ransomware, or other malicious code.
  • Scrape or reverse-engineer: Use bots, scrapers, or automated tools to collect data from the Services without written permission; attempt to reverse-engineer any part of the Services.
  • Interfere with operations: Attempt to disrupt, overload, or gain unauthorized access to the Services or related infrastructure.
  • Violate laws: Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or third-party rights.
  • Misuse the Warranty Fund: File fraudulent claims, collude with other users to inflate claims, or otherwise abuse the Warranty Fund program.

Violation of this Section may result in immediate account suspension or termination without notice, forfeiture of pending payments, ban from re-registering, and referral to law enforcement or regulatory authorities where appropriate. Bypass detection may result in a 5% fee assessed on the full off-platform transaction value.

17. Intellectual Property

ProjectHero IP: The Services, including all software, designs, logos, trademarks, text, graphics, and other materials (excluding user Content), are owned by or licensed to ProjectHero and are protected by intellectual property laws. "ProjectHero," the Ascend logo, and related marks are trademarks of Mero Mero Systems LLC.

License to You: Subject to these Terms, ProjectHero grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

Restrictions: You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of any part of the Services without our prior written consent.

Feedback: If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

18. Privacy

Your use of the Services is subject to our Privacy Policy, available at https://projecthero.ai/privacy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and share information, including our commitment that we will not share your mobile information or SMS opt-in consent with third parties or affiliates for marketing or promotional purposes.

19. Third-Party Services

The Services integrate with third-party services, including but not limited to:

  • Stripe — payment processing (stripe.com/legal)
  • Twilio — SMS delivery (twilio.com/legal/tos)
  • Supabase — database and authentication (supabase.com/terms)
  • Anthropic — AI-assisted features (anthropic.com/legal/aup)
  • Google — Business Profile, Calendar sync, Places API (policies.google.com/terms)
  • Verificable — license verification (verifiable.com/terms)

Your use of these third-party services is subject to their respective terms and privacy policies. ProjectHero is not responsible for the actions, content, or terms of these third parties.

20. Termination

By You: You may close your account at any time via account settings or by emailing support@projecthero.ai. Termination does not relieve you of obligations for Projects, Bids, payments, or disputes existing at the time of termination.

By Us: We may suspend or terminate your access to the Services, remove your Content, and delete your account at any time, with or without notice, if we believe you have violated these Terms, applicable law, or the rights of others; if required by law; or if we discontinue the Services.

Effect of Termination: Upon termination, your right to access the Services ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 15, 16, 17, 20–29) will survive.

Data Retention: After termination, ProjectHero may retain your data as described in the Privacy Policy for legal, financial, and dispute resolution purposes.

21. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by law, ProjectHero disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Warranties that the Services will be uninterrupted, secure, error-free, or free of viruses;
  • Warranties regarding the accuracy, completeness, reliability, or availability of any Content, Bids, ratings, or reviews;
  • Warranties regarding the qualifications, licensing, insurance, work quality, or conduct of any Contractor or Homeowner;
  • Warranties that any Project will be completed, be free of defects, or meet the Homeowner's expectations.

Any material downloaded or otherwise obtained through the Services is at your own risk. You are solely responsible for any damage to your property or loss of data resulting from such use.

NO ENDORSEMENT: Any listing of a Contractor on the Services does not constitute an endorsement, recommendation, or guarantee by ProjectHero of that Contractor's work.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROJECTHERO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR PARTNERS BE LIABLE FOR:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages (including but not limited to loss of profits, revenue, goodwill, use, or data), even if we have been advised of the possibility of such damages;
  • Damages arising from the acts, omissions, negligence, or misconduct of any Contractor, Homeowner, or third party, including but not limited to poor workmanship, property damage, personal injury, or fraud;
  • Damages arising from any Project performed or not performed by a Contractor found through the Services;
  • Damages arising from service interruptions, security breaches, or data loss beyond our reasonable control.

AGGREGATE LIABILITY CAP: IN ANY CASE, PROJECTHERO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL COMMISSION FEES PROJECTHERO EARNED FROM YOUR PROJECT(S) GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

23. Indemnification

You agree to defend, indemnify, and hold harmless ProjectHero, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your access to or use of the Services;
  • Your violation of these Terms or applicable law;
  • Your Content;
  • Your interactions with other users (including any Project, dispute, or off-platform transaction);
  • Any personal injury, property damage, or economic loss caused by you or (for Homeowners) occurring at your property;
  • (For Contractors) Your work performance, negligence, misclassification defense, licensing failures, insurance failures, or violations of building codes or regulations;
  • Your infringement of any third party's rights.

ProjectHero reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

24. Dispute Resolution — MANDATORY ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH PROJECTHERO AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

24.1 Informal Resolution

Before initiating arbitration, you agree to first contact ProjectHero at legal@projecthero.ai with a detailed description of the dispute. We will attempt to resolve the matter informally within 30 days.

24.2 Marketplace Disputes (User-to-User)

Disputes between Homeowners and Contractors regarding work quality, payment, timelines, or other Project-related matters are handled by ProjectHero's internal dispute resolution process:

  • Either party may raise a dispute via the platform.
  • Funds in escrow for the disputed Milestone are frozen.
  • Both parties are invited to submit evidence (photos, messages, receipts) within 7 days.
  • ProjectHero reviews evidence and issues a ruling within 14 days of the dispute being raised. Possible rulings: full refund to Homeowner, partial refund, no refund (Contractor keeps funds), Warranty Fund payout, or 50/50 split.
  • ProjectHero's ruling is final for platform purposes and enforceable via the release or reversal of escrowed funds.
  • Either party disagreeing with the ruling retains the right to pursue direct legal action against the other party outside the platform. ProjectHero is not a party to that action.

24.3 Disputes with ProjectHero — Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services between you and ProjectHero (including but not limited to the interpretation, validity, or enforceability of these Terms) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for Contractor disputes, its Commercial Arbitration Rules), rather than in court, except that you may pursue individual claims in small claims court if they qualify.

  • Arbitrator: A single arbitrator selected in accordance with AAA rules.
  • Location: Arbitration will be conducted in Denver, Colorado, or remotely by video conference at the election of either party.
  • Costs: Filing fees are governed by AAA rules. For consumer claims under $10,000, ProjectHero will pay all AAA filing and administrative fees except your initial filing fee.
  • Discovery: Limited discovery as permitted by the arbitrator.
  • Confidentiality: Arbitration proceedings and awards shall be confidential.
  • Enforcement: The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

24.4 CLASS ACTION WAIVER

YOU AND PROJECTHERO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, unless both you and ProjectHero agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

24.5 Opt-Out

You may opt out of the arbitration agreement in Section 24.3 by sending written notice to legal@projecthero.ai within 30 days of first accepting these Terms. The notice must include your full name, mailing address, email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other portion of these Terms.

24.6 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened misuse of intellectual property, violation of confidentiality obligations, or circumvention of the platform (Section 16).

25. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-laws principles. For any disputes not subject to arbitration under Section 24, the exclusive venue is the state and federal courts located in Arapahoe County, Colorado, and you consent to personal jurisdiction there.

26. Changes to Terms

ProjectHero may modify these Terms at any time. If a change is material, we will notify you at least 30 days in advance by email and/or in-app notification. Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance.

If you do not agree to the modified Terms, you must stop using the Services and close your account before the effective date. Failure to close your account after such notification constitutes acceptance.

For non-material changes (such as typo corrections, updated third-party service links, or clarifications), we may make them without advance notice, effective upon posting.

27. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, SMS Terms, and any additional agreements you enter into with ProjectHero, constitute the entire agreement between you and ProjectHero regarding the Services.
  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor in interest, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: ProjectHero is not liable for delays or failures resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, and internet or infrastructure failures.
  • Notices: Notices to you will be sent to the email or phone number on file. Notices to us should be sent to legal@projecthero.ai or by mail to the address in Section 29.
  • Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and ProjectHero.
  • Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
  • Language: These Terms are drafted in English. Translations may be provided for convenience; the English version controls in the event of any conflict.
  • Section 230: ProjectHero is a provider of an "interactive computer service" as defined in 47 U.S.C. § 230(f)(2) and is entitled to all protections thereunder, including immunity from liability for user-generated Content.
